Terms of Use

The app is called "Mellow" in most regions and "Qahwati" in the Gulf / Middle East region. Both names refer to the same application operated by Delphi合同会社 (Delphi LLC).

Welcome to Mellow. These Terms of Use ("Terms") govern your use of the Mellow mobile application ("the App"). By using the App, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the App.

Mellow is an independent drink discovery application and is not affiliated with, endorsed by, or connected to Starbucks Corporation.

1. Who we are

Mellow is operated by Delphi合同会社 (Delphi LLC) (referred to as "we", "us", or "our"). We can be contacted at support@delphigk.com.

2. Age requirement

You must be at least 13 years old to use the App. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We do not knowingly collect personal information from users under 13.

3. About the App

Mellow lets you:

Browse custom drink recipes created by our team and the community
Save your favourite recipes locally
Like recipes you enjoy
Submit your own custom drink recipes to the community
View step-by-step instructions for ordering these drinks at Starbucks stores
Subscribe for expanded access to the full recipe collection
Purchase themed recipe packages as one-time purchases

Mellow does not sell drinks, process payments for drinks, or fulfil orders. All drink purchases and ordering happen directly between you and Starbucks at their physical stores or through the Starbucks app. We receive no compensation from Starbucks and are not a Starbucks partner.

4. Starbucks disclaimer

Mellow is not affiliated with, endorsed by, or sponsored by Starbucks Corporation. "Starbucks", the Starbucks logo, and all related names and trademarks are the property of Starbucks Corporation. Mellow uses publicly available information about Starbucks menu items and customisation options to help users discover custom drinks.

The recipes displayed in Mellow are suggestions for customisation and are not official Starbucks products. Availability of specific ingredients, bases, or customisations depends on your local Starbucks store and may vary. Starbucks pricing, promotions, and menus are not controlled by Mellow and may change without notice.

5. Your use of the App

You agree to use the App only for lawful purposes and in accordance with these Terms. You must not:

Use the App in any way that could damage, disable, or impair it
Attempt to gain unauthorised access to any part of our systems
Submit content that is illegal, abusive, harassing, defamatory, pornographic, or otherwise inappropriate
Impersonate any person or entity
Submit content that infringes anyone's intellectual property rights
Use automated tools (bots, scrapers) to access the App or our backend
Reverse engineer, decompile, or disassemble any part of the App
Circumvent or attempt to circumvent any paywall, access restriction, or subscription requirement
Scrape, extract, or collect content from the App for the purpose of training AI models or building a competing service
Use the App in any way that harms Starbucks Corporation or misrepresents Mellow's independent status

6. Community submissions

When you submit a custom recipe through the App, you:

Grant us a license — a worldwide, royalty-free, sublicensable, perpetual, irrevocable license to reproduce, modify (for formatting, moderation, and editorial purposes), distribute, and display your submission in the App, on our website, and in marketing materials (including social media, advertisements, and press)
Warrant that the content is your own and does not infringe on anyone else's rights
Acknowledge that submissions go through a moderation process before appearing publicly
Understand that we may reject, edit, or remove any submission at our discretion
Accept that if you provide an optional email, it will only be used to send you a yearly subscription coupon as a thank-you or to contact you about your submission — never for marketing

You retain ownership of your submissions. Submitting a recipe does not transfer ownership to us. However, the license granted above survives deletion of the submission.

Moderation

We moderate community submissions using automated content filtering and manual review. Submissions containing inappropriate content may be automatically rejected. Users can report recipes they believe violate these Terms. Reports are reviewed by our team and may result in the recipe being removed.

Reports are typically reviewed manually. However, we reserve the right to immediately remove content that is clearly illegal, harmful, or in violation of applicable law without prior notice.

Intellectual property claims (notice and takedown)

If you believe that content in the App infringes your intellectual property rights, please contact us at support@delphigk.com with:

A description of the copyrighted work or trademark you claim is infringed
The specific content in the App you believe infringes your rights
Your contact information
A statement that you have a good-faith belief the use is not authorised

We will investigate claims promptly and remove or disable access to infringing content where appropriate. We may also forward your claim to the user who submitted the content. If you are a user whose content was removed, you may submit a counter-notification explaining why you believe the content does not infringe.

7. Intellectual property

The Mellow app, its design, branding, and original content are owned by Delphi合同会社 (Delphi LLC) and protected by copyright and trademark laws. You may not copy, modify, distribute, sell, or lease any part of the App without our permission.

Recipe names, descriptions, and instructions for ordering custom drinks at Starbucks stores are provided for personal use only. You may share individual recipes via the App's built-in Share feature only. Bulk export, screenshot redistribution for commercial purposes, or any other method of reproducing App content is not permitted.

8. Availability and changes

We strive to keep the App available at all times, but we do not guarantee uninterrupted service. We may:

Update, suspend, or discontinue any part of the App at any time
Remove or change recipes without notice
Change features, layouts, or functionality
Require you to update to the latest version to continue using the App

We are not liable for any losses resulting from downtime, changes, or discontinuation.

9. Subscriptions and purchases

Mellow offers optional paid access through:

Monthly subscription — provides access to a growing selection of recipes, with additional recipes unlocking each week
Yearly subscription — provides immediate access to all recipes
Recipe packages — one-time purchases that unlock themed collections of recipes (e.g. seasonal drink sets)

A small number of recipes are always free and accessible without any purchase.

Billing and renewal

All subscriptions and purchases are processed by Apple (App Store) or Google (Play Store). We do not handle payment information directly. By subscribing, you agree to:

Auto-renewal: Subscriptions automatically renew at the end of each billing period (monthly or yearly) unless you cancel at least 24 hours before the current period ends.
Cancellation: You can cancel your subscription at any time through your device's app store settings (Settings → Apple ID → Subscriptions on iOS). Cancellation takes effect at the end of the current billing period — you retain access until then.
Price changes: We may change subscription prices. Any price change will take effect at the start of your next billing period. You will be notified in advance and can cancel before the new price applies.
Refunds: Refund requests are handled by Apple or Google according to their refund policies.
Restore purchases: If you reinstall the App or switch devices, you can restore your purchases via Settings → Restore Purchases.

One-time purchases

Recipe packages are non-consumable purchases that remain available permanently once bought, even if you do not have an active subscription. They survive app reinstalls and can be restored via Settings → Restore Purchases.

10. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

The App will be error-free or uninterrupted
Any recipe will be available at any specific Starbucks store
Ingredient suggestions will be suitable for your dietary needs or allergies
Prices shown (if any) reflect current Starbucks pricing

Allergies and dietary restrictions: Recipes in Mellow may include ingredients that cause allergic reactions. You are responsible for verifying ingredients at the point of purchase and ensuring any drink is safe for your consumption. Always inform your Starbucks barista of any allergies.

Nothing in these Terms excludes or limits our liability to the extent that such exclusion or limitation is not permitted by applicable mandatory consumer-protection law, including Japan's Consumer Contract Act (消費者契約法) and any equivalent law in your country of residence. The limitations and disclaimers above apply only to the maximum extent permitted by such law.

11. Limitation of liability

To the maximum extent permitted by applicable law, Delphi合同会社 (Delphi LLC) and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App.

This limitation does not apply to damages caused by our willful misconduct (故意) or gross negligence (重過失).

In any event, our total aggregate liability to you for all claims arising from or relating to the App shall not exceed the total amount you paid to us through in-app purchases in the twelve (12) months preceding the claim, or ¥1,000 if you have not made any purchases.

12. Indemnification

You agree to indemnify, defend, and hold harmless Delphi合同会社 (Delphi LLC), its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

Your use of the App in violation of these Terms
Content you submit through the App (including recipes, images, and text)
Your violation of any third party's rights, including intellectual property rights

13. Termination

We may suspend or terminate your access to the App at any time if you violate these Terms. You may stop using the App at any time by uninstalling it.

14. Governing law and jurisdiction

These Terms are governed by the laws of Japan. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court (東京地方裁判所) as the court of first instance.

This does not deprive a consumer of the protection of mandatory consumer-protection laws of their country of residence, and for users resident in the Gulf (KSA/UAE) the courts of their residence may also have jurisdiction as required by local law.

15. Changes to these Terms

We may update these Terms from time to time. Changes will be consistent with the general purpose of these Terms and reasonable in light of the circumstances.

For material changes, we will provide at least 30 days' notice before the new Terms take effect, via in-app notification, App Store update notice, or other reasonable means. The notice will include the effective date of the new Terms and a summary of the changes.

Your continued use of the App after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you should stop using the App before the effective date.

16. Apple and Google acknowledgments

The App is available through the Apple App Store and Google Play Store. By using the App, you acknowledge and agree that:

These Terms are between you and Delphi合同会社 (Delphi LLC) only, and not with Apple Inc. ("Apple") or Google LLC ("Google"). Apple and Google are not parties to these Terms.
Apple and Google have no obligation to provide maintenance or support for the App.
Apple and Google are not responsible for any product warranties, whether express or implied. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple or Google for a refund of the purchase price (if any). To the maximum extent permitted by law, Apple and Google have no other warranty obligation with respect to the App.
Apple and Google are not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, claims that the App fails to conform to any applicable legal or regulatory requirement, or claims arising under consumer protection or similar legislation.
In the event of any third-party claim that the App or your use of the App infringes a third party's intellectual property rights, Delphi合同会社 (Delphi LLC) (not Apple or Google) is solely responsible for the investigation, defense, settlement, and discharge of such claim.
You represent and warrant that you are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and you are not listed on any US Government list of prohibited or restricted parties.
Apple and Google and their subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you as third-party beneficiaries.

17. Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the App, you consent to our collection and use of information as described in the Privacy Policy.

18. Language

These Terms are published in Japanese, English, Korean, and Arabic. In the event of any conflict or inconsistency between the versions: the Japanese version shall prevail for users located in Japan; the Arabic version shall prevail for users resident in the Gulf region (including Saudi Arabia (KSA) and the United Arab Emirates (UAE)); the Korean version shall prevail for users located in Korea; and the English version shall prevail for all other users.

19. General provisions

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the App and supersede all prior agreements.
Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment: We may assign or transfer these Terms, in whole or in part, without restriction. You may not assign your rights or obligations under these Terms without our prior written consent.
